1. Acceptance of Terms

By accessing or using VivifyAll ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

VivifyAll is an AI-powered visual content platform that allows users to create videos, images, and ads from text descriptions, images, videos, or other inputs. Services include text-to-video, image-to-video, video-to-video, AI ad generation, style transfer, video enhancement, and background replacement. The Service uses third-party AI models (including but not limited to Kling, Veo, and Sora) to process user inputs and generate visual content.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or legal guardian consent. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to update it as necessary. You must notify us immediately of any unauthorized use of your account.

5. License Grant

Subject to your compliance with these Terms, VivifyAll grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial purposes in accordance with these Terms.

6. Credits and Subscription

VivifyAll uses a credit-based system. Each subscription plan provides a monthly allocation of credits that can be used to generate content. Credits are deducted when a generation request is submitted. Unused credits do not roll over to the next billing period. We reserve the right to adjust credit costs for different features, resolutions, or durations.

7. User Content

You retain ownership of the text prompts, images, and other materials you submit to the Service ("Input"). By submitting Input, you grant VivifyAll a limited license to process it through third-party AI models for the purpose of generating your requested output. You represent that you have all rights necessary to submit the Input and that it does not violate any laws or third-party rights.

8. AI-Generated Content

Videos, images, and other outputs generated by the Service ("Output") are owned by you, subject to these Terms. You acknowledge that AI-generated content may be similar to content generated for other users, and VivifyAll makes no guarantees regarding the uniqueness, copyrightability, or commercial viability of Output. You are responsible for reviewing Output before distribution.

9. Prohibited Conduct

In addition to the content restrictions below, you agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
  • Use bots, spiders, scrapers, or other automated means to access the Service.
  • Interfere with or disrupt the integrity or performance of the Service, servers, or networks.
  • Attempt to gain unauthorized access to any portion of the Service or related systems.
  • Use the Service for any illegal purpose or in violation of any applicable laws.
  • Share your account credentials with third parties.

10. Acceptable Use Policy

  • You must not generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • You must not generate sexually explicit or pornographic content, including content involving minors in any capacity.
  • You must not create non-consensual deepfakes, impersonations, or content that misrepresents a person's identity, likeness, or actions.
  • You must not generate content that infringes on intellectual property rights, including copyrighted characters, logos, or branded materials.
  • You must not create misleading political, medical, financial, or legal content designed to deceive.
  • You must not generate content that includes personal or private information of others without their consent.
  • You must not create content that promotes hate speech, discrimination, violence, or self-harm.
  • You must not use the Service for spam, scams, fraud, or any form of abuse.
  • You must not upload files containing malware, viruses, or other harmful code.
  • You must not misrepresent AI-generated content as authentic human-created content in contexts where disclosure is legally required.
  • Violations may result in content removal, credit forfeiture, account suspension, or permanent termination without refund.

11. Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. AI models may experience downtime, queue delays, or reduced availability. Failed generations due to platform errors will be credited back to your account. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

12. Payment and Billing

Paid plans are billed on a monthly or annual basis depending on your selected plan. Prices are displayed in USD. Payments are processed through third-party payment processors. You authorize VivifyAll and its payment processors to charge your selected payment method at the beginning of each billing cycle. You may cancel your subscription at any time; access continues until the end of the current billing period.

13. Refund Policy

  • Refund requests must be submitted to support@vivifyall.com within 14 days of purchase.
  • Eligible refunds: duplicate charges, billing errors, platform failures resulting in no delivered output.
  • Non-refundable: credits that have been consumed, successfully generated and downloaded content, violations of these Terms, requests after the 14-day window.
  • AI output that is technically successful but subjectively unsatisfactory is not eligible for refund due to the inherent variability of AI generation.
  • Approved refunds are processed within 5-10 business days to the original payment method.
  • Chargebacks initiated without first contacting support@vivifyall.com may result in account suspension.

14. Intellectual Property

The VivifyAll name, logo, website design, and Service design are the intellectual property of VivifyAll. You may not use our trademarks without written permission. Third-party AI model names (Kling, Veo, Sora, etc.) are trademarks of their respective owners.

15. User Feedback

Any feedback, suggestions, or ideas you provide regarding the Service are entirely voluntary. By submitting feedback, you grant VivifyAll a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such feedback for any purpose without compensation to you.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VIVIFYALL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVIFYALL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify, defend, and hold harmless VivifyAll and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Input or Output infringing or otherwise violating the rights of any third party.

19. Termination

You may terminate your account at any time by contacting support@vivifyall.com. We may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and miscellaneous shall survive termination.

20. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or Service notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

21. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and VivifyAll regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: The failure of VivifyAll to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our written consent. VivifyAll may assign its rights and obligations freely.
  • Governing Law: These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
